1. Agreement to Terms

By accessing or using the services provided by Digi Entrant ("Company", "we", "us","our"), you ("Client", "you", "your") agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

These terms apply to all visitors, users, and others who wish to access or use our services. We reserve the right to update, change, or replace any part of these terms at our sole discretion.

2. Services

Digi Entrant provides a comprehensive range of digital services including but not limited to:

• Website Design & Development
• Mobile Application Development (iOS & Android)
• E-Commerce Website Development
• Digital Marketing & SEO Services
• Logo Design & Brand Identity
• Video Editing & Post-Production
• Creative Poster & Graphic Design
• UI/UX Design & Consulting

All services are provided based on the specific requirements outlined in the project proposal or Statement of Work (SOW) agreed upon by both parties.

3. Payments & Fees

Payment terms are as follows:

• Advance Payment: A 50% advance payment is required before commencing any project.
• Milestone Payments: Remaining balance is divided into milestone-based payments as outlined in the project proposal.
• Final Payment: The final 25% is due upon project completion and before final delivery.
• Late Payments: A late fee of 10% per month may be applied to overdue invoices.
• Refund Policy: Advance payments are non-refundable once work has commenced.

4. Project Delivery

Delivery timelines are estimates based on project complexity and client responsiveness:

• Simple websites: 3–10 business days
• E-commerce websites: 15–30 business days
• Mobile applications: 30–60 business days
• Design projects: 5–10 business days

Delays caused by client-side factors (late approvals, content, feedback) extend the timeline accordingly. We are not liable for delays beyond our reasonable control.

5. Intellectual Property Rights

Upon Full Payment: All final deliverables become the exclusive property of the client. This includes source code, design files, and associated assets.

Before Full Payment: All work remains the intellectual property of Digi Entrant until final payment is received in full.

Portfolio Rights: We reserve the right to display completed work in our portfolio, social media, and marketing materials unless explicitly requested otherwise by the client.

Third-Party Assets: Any third-party assets, libraries, or fonts used remain under their respective licenses.

6. Client Responsibilities

As a client, you agree to:

• Provide timely feedback, approvals, and requested materials
• Ensure all content (text, images, videos) you provide does not violate any third-party rights
• Maintain backups of your data before handing over for development
• Cooperate in good faith to achieve project goals
• Notify us immediately of any security concerns or unauthorized access

7. Revisions & Approvals

Our revision policy ensures your satisfaction:

• Design Phase: 3 rounds of revisions included
• Development Phase: Bug fixes and minor adjustments included
• Additional Revisions: Billed at hourly rates after included rounds
• Sign-Off: Written approval is required to proceed to next phases

Once a phase is approved, additional changes to that phase may incur extra charges.

8. Third-Party Services

We may integrate third-party services including hosting providers, payment gateways, analytics tools, and marketing platforms. We are not responsible for:

• Downtime or issues with third-party services
• Changes to third-party pricing, terms, or features
• Data loss caused by third-party providers

Clients are responsible for maintaining their own accounts with third-party services.

9. Confidentiality

Both parties agree to keep confidential all non-public information shared during the project. This includes business strategies, proprietary code, client data, and trade secrets. This obligation survives the termination of this agreement.

10. Limitation of Liability

To the maximum extent permitted by law, Digi Entrant shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Data loss or corruption
• Damages exceeding the total amount paid by client in the preceding 6 months

11. Warranties & Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no guarantees regarding:

• Specific search engine rankings or traffic results
• Conversion rates or sales performance
• Uninterrupted or error-free operation

Services are provided "as is" without warranties of merchantability or fitness for a particular purpose.

12. Termination

Either party may terminate this agreement with written notice if the other party breaches any material term and fails to cure within 15 days of notice.

Upon termination, client shall pay for all work completed up to the termination date. Digi Entrant will deliver all completed work upon final payment.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes become effective immediately upon posting. We will notify clients of material changes via email or website notice. Continued use of our services constitutes acceptance of modified terms.
